Giveaway Terms & Conditions

Giveaways, as defined below, may be organized by one of the following legal entities:

• MacPaw Way Ltd., a company incorporated in the Republic of Cyprus under company registration number 428214, with its registered office at 25 Serifou, Allure Center 11, Office No. 11-12, 2nd Floor, 3046 Zakaki, Limassol, Republic of Cyprus; or
• MacPaw, Inc., a legal entitity acting under the laws of Massachusetts, USA, under registration number 4708642, and whose registered office is at 10 Canal Park Suite 201 Cambridge, MA 02141, USA.

Each entity induvidually or collectively referred to as “MacPaw”. The specific legal entity organising a particular Giveaway will be identified on the relevant website, landing page, or social media post announcing that Giveaway.

If you participate in our promotions and giveaways (the “Giveaway”), you agree to be bound by these terms and conditions. Entry into a Giveaway will be deemed acceptance of these terms and conditions in full.

Any personal data collected in connection with a Giveaway will be processed in accordance with the applicable MacPaw Privacy Notice, which will be published or referenced on the relevant website, landing page, or social media post. You are encouraged to read the applicable Privacy Notice carefully before participating. By entering a Giveaway, you acknowledge that you have been given the opportunity to review it.

ELIGIBILITY

If you are at least 18 years old, you are eligible to take part in the Giveaways. MacPaw may ask you to provide us with proof of age and/or identity at any point prior to prize fulfillment. MacPaw reserves the right to exclude any participants who are not able to provide us with such proof. We also reserve the right to revoke your participation in the Giveaways in the event we determine that you are not eligible. Any prizes awarded to ineligible participants may be forfeited and reallocated.

Eligibility requirements for specific Giveaways, including any geographic restrictions, will be stated on the relevant website, landing page, or social media post announcing that Giveaway.

DATES OF THE GIVEAWAYS

Each Giveaway shall commence and close on the dates and times specified on the relevant website, landing page, or social media post, including the applicable timezone. Entries received after the closing date and time will not be accepted. MacPaw reserves the right to extend, suspend, or cancel a Giveaway at any time, with notice provided on the relevant website, landing page, or social media post where reasonably practicable.

HOW TO ENTER

The method of entry for each Giveaway will be described on the relevant website, landing page, or social media post. There is no entry fee and no purchase is necessary to enter.

ENTRY LIMITS

Unless otherwise stated on the relevant website, landing page, or social media post, participants may submit one entry per person per social media platform. Participants may enter across multiple platforms where the Giveaway is promoted (for example, one entry via TikTok and one entry via Instagram), provided each entry otherwise complies with these terms.

Where a participant submits more than one entry on the same platform, only the first valid entry received will be considered. MacPaw reserves the right to disregard any subsequent entries from the same participant on the same platform.

Bulk, automated, or third-party entries are not permitted and will be disqualified. MacPaw reserves the right to verify the eligibility of all entries and to disqualify any entry it reasonably believes to be fraudulent, incomplete, or in breach of these terms.

WINNER SELECTION

Unless otherwise stated on the relevant website, landing page, or social media post, winners will be selected at random from all eligible entries by randomizer software verified by MacPaw. The odds of winning depend on the total number of eligible entries received.

The winner will be notified by direct message via social media within 3 business days of the closing date. If a winner cannot be contacted or fails to claim their prize within 14 days of notification, MacPaw reserves the right to withdraw the prize.

MacPaw's decisions in respect of all matters relating to the Giveaways will be final and binding, to the fullest extent permitted by applicable law, and will not be subject to review or appeal by any entrant or third party.

PRIZE

The prize for each Giveaway will be specified on the relevant website, landing page, or social media post. The prize is non-transferable and no cash equivalent or alternative prize will be offered, except that MacPaw reserves the right to substitute any prize with an alternative of equal or greater value where the original prize becomes unavailable, with notice provided to the winner where reasonably practicable.

All taxes, duties, and other charges arising from the acceptance or use of a prize are the sole responsibility of the winner. MacPaw will provide any tax documentation required by applicable law where the prize value meets the applicable reporting threshold.

MacPaw will arrange delivery of physical prizes to winners within 28 days of completion of eligibility verification and receipt of all required documentation from the winner. Winners are responsible for submitting any required documentation within 14 days of being notified of their win. Failure to do so may result in forfeiture of the prize and selection of a replacement winner in accordance with these terms.

MacPaw is not responsible for prizes lost, delayed, or damaged in transit due to circumstances outside its reasonable control, provided that MacPaw has dispatched the prize to the address confirmed by the winner. MacPaw is not responsible for non-delivery resulting from inaccurate or incomplete delivery details provided by the winner.

Where a prize consists of or includes a digital product, software license, or subscription, MacPaw will arrange delivery of the relevant access details or redemption code to the winner's email address within 28 days of eligibility verification.

PARTICIPATION PRIZE

In addition to the main Giveaway prize, MacPaw may offer a guaranteed participation prize to all eligible entrants who successfully complete the entry requirements (the "Participation Prize"). Where a Participation Prize is offered, this will be stated on the relevant website, landing page, or social media post.

The Participation Prize is subject to availability. MacPaw reserves the right to limit the total number of Participation Prizes available, in which case the applicable limit will be stated on the relevant website, landing page, or social media post. Where the limit is reached, no further Participation Prizes will be distributed, and this will not affect a participant's eligibility for the main Giveaway prize.

Details of how to claim the Participation Prize, including any redemption method, will be communicated to eligible participants via email and/or as stated on the relevant website, landing page, or social media post. MacPaw is not responsible for Participation Prizes that are unclaimed, unredeemed, or that expire due to the participant's failure to follow the redemption instructions within the specified timeframe.

Where the Participation Prize consists of a digital product, software license, discount code, or subscription, any applicable expiry date will be communicated at the time of delivery. Participation Prizes are non-transferable, have no cash value, and may not be exchanged for an alternative prize.

Receipt of a Participation Prize does not guarantee or improve a participant's chances of winning the main Giveaway prize.

PUBLICITY

By entering a Giveaway, winners agree that MacPaw may use their social media handle / username for promotional purposes, including publication of a winners list and social media posts, without additional compensation.

If a winner voluntarily shares photos, videos, or other content related to the Giveaway or the prize (such as unboxing videos, reviews, or posts about their experience) and expressly consents to MacPaw reposting or otherwise using such content, MacPaw may share and publish that content on its social media channels and other promotional materials.

Where required by applicable law, MacPaw will seek separate consent. Winners who object to such use may notify MacPaw at [email protected], and MacPaw will use reasonable efforts to accommodate such requests without affecting prize entitlement.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, by entering a Giveaway you agree to release, discharge and hold harmless MacPaw, its affiliates, subsidiaries, its legal representatives, respective officers, directors, employees, and agents (collectively, "MacPaw Parties") from any and all claims, damages, losses, costs, or expenses arising out of or in connection with your participation in the Giveaway or the acceptance, use, or misuse of any prize. This release does not apply to damages caused by MacPaw's gross negligence or willful misconduct.

In no event shall MacPaw's total liability to any participant exceed the retail value of the prize that participant was eligible to receive in connection with the relevant Giveaway.

MacPaw reserves the right to amend these terms and conditions at any time. Any changes will be published on the relevant website, landing page, or social media post. Changes will not apply retroactively to entries already validly submitted prior to the date of amendment, unless required by applicable law.

MacPaw is not responsible for any technical failures affecting participation in a Giveaway, including but not limited to server errors, lost or corrupted entries, failed transmissions, unauthorized access, or platform outages. MacPaw is not liable for any interruption, cancellation, or modification of a Giveaway caused by a Social Network's actions, including removal of posts, account restrictions, or changes to platform policies.

MacPaw is not responsible for prize details inaccurately communicated by any third party. MacPaw is not responsible for any consequences arising from inaccurate, incomplete, or fraudulent personal information provided by a participant, and reserves the right to disqualify any participant and revoke any prize awarded on the basis of such information.

MacPaw shall not be liable for any failure to perform or delay in performance of its obligations under these terms and conditions caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, war, or civil unrest ("Force Majeure Event"). In the event of a Force Majeure Event, MacPaw reserves the right to cancel, suspend, or modify the affected Giveaway.

NO ENDORSEMENT

The Giveaways are in no way sponsored, endorsed or administered by, or associated with, Instagram, TikTok, Meta, or any other third party, social media platform or third-party service (collectively, "Social Networks"). By entering a Giveaway, each participant fully releases each applicable Social Network from any and all liability arising from or related to the Giveaway.

Any information you provide in connection with a Giveaway is submitted to MacPaw only, and not to any Social Network. MacPaw's collection and use of your personal data is governed by the relevant MacPaw's Privacy Notice.

GOVERNING LAW & DISPUTE RESOLUTION

When the Giveaway is organized by MacPaw Way Ltd.: the validity, construction and performance of these terms and conditions shall be governed by the laws of the Republic of Cyprus, and the Parties agree that any dispute arising from it shall be litigated only in the courts of the the Republic of Cyprus.

When the Giveaway is organized by MacPaw, Inc.: The validity, construction and performance of these terms and conditions shall be governed by the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of laws principles, and the Parties agree that any dispute arising from it shall be litigated only in the courts of the Commonwealth of Massachusetts, USA.
