BY DOWNLOADING, INSTALLING, OR USING THE REFOLDER APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE REFOLDER APPLICATION.

THIS SOFTWARE IS DISTRIBUTED EXCLUSIVELY VIA SETAPP. ALL TERMS RELATED TO SUBSCRIPTIONS, BILLING, CANCELLATIONS, REFUNDS, AND FREE TRIALS ARE GOVERNED BY THE SETAPP TERMS OF USE. PLEASE REVIEW SETAPP'S TERMS OF USE CAREFULLY BEFORE USING THIS SOFTWARE.

INTRODUCTORY PROVISIONS

These Terms of Service (the “Terms” or the “Agreement”) constitute a legally binding agreement between You (“You” or the “User”) and MacPaw Way Ltd. (“MacPaw,” “we,” “us,” or “our”), a company incorporated under the laws of the Republic of Cyprus, registration number 428214, with its registered address at 25 Serifou, Allure Center 11, Office 11-12, 2nd Floor, 3046 Zakaki, Limassol, Cyprus, governing Your access to and use of Refolder (the “Software” or the “Services”).

Each time You access or use the Services, the current version of these Terms will apply. These Terms will always be available on the website macpaw.com .

You agree to abide by our rules, policies, and procedures, incorporated in these Terms, or which we may publish on the Services from time to time.

Eligibility. You must be at least eighteen (18) years of age to use the Services. If You are between the ages of thirteen (13) and seventeen (17), You may only use the Services with the prior consent of Your parent or legal guardian who agrees to be bound by these Terms on Your behalf. The Services are not intended for, and may not be used by, children under the age of thirteen (13).

Modifications. We reserve the right to modify, update, revise, or replace these Terms at any time at our sole discretion. Where legally mandated, we will provide prior notice of material changes. Your continued use of the Software after any such modifications constitutes Your acceptance of the revised Terms. We encourage You to periodically review these Terms for the latest information.

Testing and experimentation. We continually test various aspects of our Services, including but not limited to features, functionality, user interfaces, service levels, plans, promotions, and pricing. We may include or exclude You from these tests without prior notice.

Feedback. We appreciate your feedback about our Services, but you agree that we may use it to provide, maintain, develop, and improve our Services, without compensation to you. You can leave your feedback either via the feedback section within Software.

SOFTWARE

The term “Software” refers to the Refolder application for macOS, including all associated downloads, files, documentation, setup files, images, media, registration information, and any Updates (as defined below) thereto. Refolder is a macOS application that helps users organize local folders by offering flexible organization methods, allowing users to preview and confirm file moves, rename files or folders using rules, and intelligently group content using metadata, filename patterns, or keyword logic. The Software includes, but is not limited to, the following features:

• Organize — Scan a folder, pick an organization strategy, preview the proposed file moves, and confirm. Full undo is available immediately after each operation.
• Watch — Add a folder to the watch list and the Software monitors it for new files. With auto-organize enabled, new files are sorted automatically the moment they appear.
• Rename — Receive AI-powered suggestions (Rename strategy proposals), review them, and apply the new names to your files or folders.

The functionality of the Software may vary depending on Your macOS version, hardware configuration, the availability of AI Services or any other Third-Party Services.

We may also modify or discontinue any aspect of the Services, including but not limited to the features, functionality, service levels, subscription plans, pricing, and availability of the Software or related offerings, based on our business needs, technological developments, or legal requirements.

By using Refolder you confirm that you have the legal right to access and modify all files you process with our Software.

While Refolder intends to retain the ability to undo operations confirmed within seven (7) calendar days, We strongly recommend reviewing the changes made by Refolder before confirming any file operations and maintaining regular backups of your data.

Please note:

• We do not store or retain any of your personal files or folders.
• File content is only processed temporarily and only when you explicitly enable content-based sorting.

Intellectual Property Rights & License

Intellectual Property

Unless otherwise indicated, the Software is our proprietary property, and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics at the Software (collectively, "Content") including but not limited to the structure, selection, coordination, expression, "look and feel" and arrangement of such Content, and the trademarks, service marks, and logos contained therein ("Marks") are owned or controlled by us or licensed to us, and are protected by law. The Content and the Marks are provided at the Software "AS IS" for Your information and personal use only.

Except as expressly provided in these Terms, no part of the Software and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. You agree not to take any action that may infringe on MacPaw’s intellectual property rights.

License

Subject to Your compliance with these Terms, MacPaw hereby grants You a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on macOS devices that You own or control, solely for Your personal, non-commercial purposes, unless a separate commercial license agreement is entered into with MacPaw.

MacPaw retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein.

You agree, and represent and warrant, that Your use of Services, or any portion thereof, will be consistent with the foregoing license, covenants and restrictions and will neither infringe nor violate the rights of any other party or breach any contract or legal duty to any other parties.

The license granted to You for the Software is limited to a license to use the application on a device that utilizes the MacOS operating system and in accordance with the usage rules set forth in the applicable App Store terms of service.

Payments and Refunds

The Software is made available to You through Setapp, a platform for macOS, iPadOS and/or iOS devices that allows You to access and download computer and/or mobile applications. All matters relating to fees, subscription plans, free trials, automatic renewals, cancellations, payments, billing, and refunds are solely governed by and subject to the Setapp Terms of Use, available at https://setapp.com/terms-of-use, as may be updated from time to time.

By accessing or using the Software through Setapp, You acknowledge that You have read and agree to be bound by the Setapp Terms of Use with respect to all billing and payment matters.

AI Features and Third-Party Services

The Software includes Artificial Intelligence (“AI”) features that enhance file organization and user experience. The AI features rely on a dual architecture:

• On-Device AI Framework — Apple Intelligence, which runs entirely on Your Mac via Apple’s Foundation Models framework. No data leaves Your device when this provider is used. However, the behavior of third-party models is not entirely within our control, and we disclaim liability for any inaccuracies or biases in their output.

• Cloud-Based AI Services — third-party AI APIs accessed through Setapp AI+, a managed AI gateway operated by MacPaw. Setapp acts as an intermediary that routes requests from the Software to the relevant cloud-based AI provider. Access to Cloud-Based AI Services requires an active Setapp subscription that includes the AI+ feature. The list of Cloud-Based AI Services available via Setapp can be reviewed here.

As AI features are essential to the Software, if You are unsure whether Your device supports the required AI Features or whether the AI Features will be available to You, You are responsible for verifying compatibility prior to use. Control. We do not own or control the Cloud-Based AI Services or On-Device AI Framework (together - “AI Services”), and rely on their providers to maintain its availability, quality, and functionality. MacPaw makes no representations regarding the behavior, accuracy, or continued availability of any specific underlying AI Services. By using the Software, you acknowledge and agree that your interactions with features powered by the AI Services are subject to terms, policies, and limitations that may be established by AI Service providers and established on their websites.You are encouraged to review these terms and policies before using Software. MacPaw is not a party to any agreement between you and an AI Services providers. We do not control, and are not responsible for, how such third-party services process your data.

User Input and Output. You retain full ownership of any input You provide to the AI features (“Input”) and the output generated by the AI features (“Output”). We hereby assign to You all our right, title, and interest, if any, in and to the Output.

Output Disclaimers. Given the probabilistic nature of machine learning, use of the Software may sometimes produce Outputs that do not accurately reflect real facts. When you use the Software you understand and agree:

• MacPaw is not responsible for any Output generated by the AI features, whether derived from Cloud-Based AI Services or On-Device AI Framework.
• Outputs are not tested, verified, endorsed, or guaranteed to be accurate, complete, or current.
• You should not rely on AI-generated folder names, categorizations, rule matches, or insights as a sole source of truth. You must evaluate the Output for accuracy and suitability before relying on it.
• You are solely responsible for both the Input You provide and the Output generated, including ensuring that neither violates any applicable laws, regulations, or third-party rights. You represent and warrant that you have all rights, licences, and permissions to submit the Input to us.

AI Capabilities. The Software uses AI in the following ways:

• Smart Folder Naming. When grouping files by project or theme, the AI generates concise folder names (typically 1–3 words) based on keyword clusters extracted from filenames. For example, a cluster of invoice-related files might be named “Billing Documents.”
• Natural Language Rule Matching. Users may write file-matching rules in plain English (e.g., “all invoices, receipts, and billing documents”), and the AI evaluates which files in a folder match those rules.
• File Categorization. Token-based scoring assigns files to predefined categories (e.g., Screenshots, Finance, Health). This categorization feeds into the AI naming pipeline.
• Folder Insights. The AI may generate short, actionable insights about watched folders (e.g., “You have 40+ screenshots — consider an archive rule”).

Apple Intelligence

Apple Intelligence is governed by Apple’s terms and conditions, including the Apple Developer Program License Agreement. MacPaw does not own or control the Apple Intelligence model and relies on Apple to maintain its availability and performance.

Apple Intelligence is only available on supported devices and/or in supported countries. You acknowledge and agree that the unavailability of AI features due to device incompatibility or geographical limitations does not constitute a defect in the Software, a breach of these Terms, grounds for termination, or any other remedy. The current list of supported devices is available on Apple's website.

On-device AI requests processed via Apple Intelligence remain on Your device and are not transmitted elsewhere. Some complex requests may require cloud processing. In these cases, data needed to complete Your request is sent securely to Apple’s Private Cloud Compute servers. This data is processed — not stored — and is not accessible to us. Apple also does not use users’ private personal data or user interactions when training AI models. For further details, please refer to Apple's official resources, including Apple Intelligence & Privacy, Understanding Aggregate Trends for Apple Intelligence Using Differential Privacy.

Tasks completed by Apple Intelligence:

• Extracting and sending keyword tokens and filename stems (without file extension or path) from the file group being named or from the watched folder. No full filenames, no file paths.
• A short instruction prompt asking the model to suggest a folder name or evaluate a rule match.

Cloud-Based AI Services (via Setapp AI+)

The Software may access cloud-based AI capabilities through Setapp AI+, which acts as a proxy (intermediary) between the Software and third-party AI service providers (“Cloud-Based AI Services” or “Third-Party AI APIs”). When You use AI features that rely on Cloud-Based AI Services, the Software sends requests to Setapp’s infrastructure, and Setapp forwards those requests to the relevant third-party AI provider on Your behalf.

Availability. Access to Cloud-Based AI Services requires an active Setapp subscription with the AI+ feature enabled. The specific AI providers, available models, rate limits, and token allocations are determined by Setapp and may vary depending on Your Setapp subscription plan.

Current Cloud-Based AI Providers. As of the date of these Terms, the Cloud-Based AI Services available through Setapp include OpenAI. The up-to-date list of supported providers and integration details is maintained by Setapp at: https://setapp.com/supported-ai-models . MacPaw may add support for additional providers as they become available through Setapp.

Third-Party Terms. When You use Cloud-Based AI Services, certain data is transmitted to third-party servers via Setapp. Your use of these services is subject to the respective terms and privacy policies of both Setapp and the underlying AI provider. We encourage You to review these third-party terms before use. For OpenAI, the applicable documents are:

MacPaw is not a party to Your agreement with any underlying Cloud-Based AI provider. We do not control how such third-party services process Your data and are not responsible for their practices.

Data Transmitted to Cloud-Based AI Services. When the Software uses Cloud-Based AI Services (via Setapp), only minimal, non-identifying data is transmitted:

• For folder naming (by-project strategy): A list of keyword clusters extracted from filenames (e.g., [“design”, “mockup”, “v2”]). Short word lists only, not full filenames or file paths.

• For folder insights: A summary of Your watched folder’s state, such as approximate file counts by type and recent activity patterns (e.g., “43 images, 12 PDFs added this week”). No filenames, no paths, no file content.

• For rule matching: A numbered list of filenames from a target folder and the user’s plain-language rule. The AI returns indices of matching files.

What is NEVER sent to Cloud-Based AI Services:

• Full file paths or directory structures.

• File content or text extracted from documents.

• Any information that could identify a specific file’s location on Your system.

DATA PROCESSING AND PRIVACY

Your use of the Software may involve the processing of data that you provide, including text entered, pasted, or selected within the application (“User Content”).

Processing is performed solely to provide functionality explicitly requested by you.

Depending on the features you use:

• such data may be processed locally on your device; or
• transmitted to third-party service providers, including artificial intelligence (AI) model providers, for the purposes such as (but not limited to): generating outputs, crash reporting, providing Services.

Where external AI services (including via Setapp AI+) are used:

• data is transmitted only when you explicitly trigger AI functionality;
• this may involve transfer of data outside the European Economic Area;
• such data may include personal or sensitive information depending on your input;
• you should avoid submitting sensitive or confidential information unless strictly necessary;
• MacPaw acts as a controller for enabling this functionality, while third-party AI providers act as independent controllers for their processing;
• MacPaw does not access or store the content of your inputs or outputs beyond what is necessary to operate the service.

The Software does not require user accounts and does not directly collect personal identifiers such as name or email address. Any analytics collected is anonymised and not linked to an identifiable individual.

Different aspects of data processing related to your use of the Software are described in separate documents.

These documents should be read together, as they address different levels of data processing.

PERMITTED USES AND RESTRICTIONS

Authorized Uses. Subject to Your compliance with these Terms, we grant You a non-exclusive, limited, revocable, non-transferable license to use the Software solely as follows:

• Unauthorized copying of the Software is expressly forbidden.
• You may not rent, lease, or lend the Software to anyone.
• You may not permanently transfer all of Your rights under these Terms, unless we are notified of and consent to the assignment and the assignee agrees to the terms of these Terms.
• We hold no responsibility for the results of using the Software acquired illegally or through an unauthorized distributor.
• Except as and only to the extent permitted in these Terms and by applicable law, You may not copy, adapt, translate, decompile, reverse engineer, disassemble, modify, or create derivative works of the Software or advertise the Software in any form.
• Without prejudice to any other rights, we may terminate these Terms if You fail to comply with the terms and conditions of these Terms or other documents, referred to herein. In such an event, You must destroy all copies of the Software.

Prohibited Uses. You may not, and You agree not to, or enable others to:

• Copy, adapt, translate, decompile, reverse engineer, disassemble, modify, or create derivative works of the Software or any part thereof, except to the extent expressly permitted by applicable law.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.
• Use the Software for any illegal, unlawful, unauthorised purpose or in any manner that could damage, disable, overburden, or impair the Software or interfere with any other party’s use, including but not limited to organizing files that infringe on intellectual property rights, contain malicious code, or violate applicable laws.
• Attempt to gain unauthorized access to any systems, networks, or data connected to the Software.
• Use the Software to develop a competing product or service.
• Use the AI features of the Software to provide Input derived from unauthorized files, devices, or other illegal means, or use the Output generated by the AI features for any illegal, unlawful, or unauthorized purpose, or in a manner that violates applicable laws, third-party rights, or these Terms.
• Use of the Software in violation of the terms of use of any AI Servicese integrated into or used by the Software.

We may terminate these Terms immediately if You fail to comply with the restrictions set forth in this Section. Upon such termination, You must destroy all copies of the Software in Your possession.

Transfer Restrictions. You may not assign, rent, lease, lend, sell, redistribute, or sublicense the Software or any rights therein, except as expressly permitted in Section “Authorised uses”.

Updates and Upgrades. At our sole discretion, we may provide updates, upgrades, or patches ("Updates") to Software to enhance functionality, improve security, or address vulnerabilities without requiring your consent. These Updates may include modifications, enhancements, or the removal of certain features. You agree that such Updates will become part of the Software and be governed by these Terms. We are not obligated to provide any specific Updates, nor to maintain compatibility with previous versions of the Software or with specific operating systems. It is your responsibility to ensure that your device is capable of receiving and installing Updates. If any Update includes paid features, you will be notified and have the option to accept or decline the installation. Failure to install Updates may result in limited functionality or reduced effectiveness of the Software. For issues, contact customer support via [email protected].

Please note that major upgrades — such as the introduction of new functionality, modules, substantial feature enhancements etc. — may be subject to additional charges.

GENERAL TERMS

Term and Termination

These Terms are effective until terminated. These Terms will terminate automatically, without notice, if You fail to comply with any provision hereof.

WE MAY SUSPEND, TERMINATE, MODIFY, OR DELETE YOUR ACCOUNT AND/OR TERMINATE OR SUSPEND YOUR ACCESS TO THE SERVICES AT ANY TIME, FOR ANY REASON OR NO REASON, WITH OR WITHOUT NOTICE, WITHOUT ANY LIABILITY TO YOU.You acknowledge and agree that we are not required to notify You before suspending or terminating Your account and/or Your access to the Services.

Upon the termination of these Terms, You shall cease all use and destroy, remove or delete all copies, full or partial, of the Services on Your computer or device and otherwise in Your possession or control. Any term or condition of these Terms which by its plain meaning shall be and must be performed after termination, shall survive termination.

Warranty Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MACPAW DOES NOT WARRANT THAT: (A) THE SOFTWARE WILL MEET YOUR NEEDS OR REQUIREMENTS; (B) THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, FREE FROM HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED; (C) THE RESULTS OBTAINED FROM THE USE OF THE SOFTWARE WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED; OR (E) THE AI FEATURES WILL PRODUCE ACCURATE, COMPLETE, OR USEFUL OUTPUT.

The warranty disclaimer set forth herein does not cover telecommunications or Internet outages caused by third parties or other events outside of MacPaw’s reasonable control. MacPaw does not warrant that the Software’s file organization suggestions, AI-generated folder names, or automated file-move operations will be free from errors. Users are strongly encouraged to use the built-in preview and undo features before and after any file operations.

Always maintain backups of important files before using any file organization software. Refolder is not responsible for any lost, corrupted, or inaccessible files.

Limitation of Liability

IN NO EVENT SHALL MACPAW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS OR PARTNERS BE LIABLE FOR ANY PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO:

• Your access to or use of or inability to access or use the Software;
• Any changes, movement, deletion, or reorganization of your files by the Software;
• Unauthorized access, use, or alteration of your data;
• Any errors or omissions in the Software's functionality;
• System failures or data loss, including those resulting from Software's operations;
• Any damages whatsoever, even if foreseeable, resulting from use of the Software;

HOWEVER CAUSED, WHETHER UNDER A THEORY OF CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF MACPAW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MACPAW’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF FIFTY DOLLARS ($50.00). THIS LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

File Operations Disclaimer. While the Software includes preview and undo functionality, MacPaw shall not be held liable for any data loss, file corruption, or unintended file moves resulting from the use of the Software, including but not limited to operations performed by the automatic Watch feature or AI-assisted file organization. You are solely responsible for maintaining appropriate backups of Your files.

Indemnification

You agree to indemnify and hold harmless MacPaw, its affiliates, and their respective officers, directors, employees, agents, licensors, and partners from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your use of the Software; (b) Your violation of these Terms; (c) Your violation of any applicable laws or regulations; or (d) Your infringement or violation of any rights of any third party. You shall be responsible for defending such claims and for any amounts paid in settlement or judgment. You may not settle any claim without MacPaw’s prior express written consent.

Governing Law and Jurisdiction

Unless otherwise required by law in Your country of residence, these Terms (and any non-contractual dispute/claim arising out of or in connection with them) shall be governed by the laws of the Republic of Cyprus, excluding its conflict of law principles.

You and MacPaw further consent to the exclusive jurisdiction of the courts of the Republic of Cyprus for the purpose of settling any dispute, claim, or controversy arising out of or in connection with the Terms (and any non-contractual disputes/claims arising out of or in connection with in connection therewith), except where applicable law allows You to choose to bring legal proceedings in Your country of residence, or we are required to bring legal proceedings only in Your country of residence.

European Union Residents. Nothing in these Terms shall deprive You of the protection afforded to consumers by the mandatory rules of law of the country in which You reside. If You reside in an EU member state, You may bring any dispute to the competent court of Your country of habitual residence, to the exclusion of any other court. MacPaw, in turn, must bring any dispute against You to the competent court of Your country of habitual residence. For complaints, please contact us at [email protected].

MacPaw does not participate in any alternative dispute resolution schemes.

Class Action Waiver

YOU AND MACPAW AGREE THAT EITHER PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both You and MacPaw agree, no arbitrator or judge may consolidate more than one person's claims or otherwise rule on any form of a collective or class action.

Complete Agreement and Severability

These Terms constitute the entire agreement between You and MacPaw with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral. No amendment to or modification of these Terms will be binding unless in writing and made by MacPaw. The failure of either party to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

In the event of any conflict between an English-language version of these Terms and any translated version, the English-language version shall prevail.

If any provision of these Terms is declared void, illegal, or unenforceable by a court of competent jurisdiction, such declaration shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. Such provisions will be interpreted and enforced to the greatest extent legally permissible to give effect to the original intent of the parties.

Electronic Communications

You consent to receive electronic communications from MacPaw, and You agree that all agreements, notices, disclosures, and other communications that we provide to You electronically satisfy any legal requirement that such communications be in writing.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO THE ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS. YOU HEREBY WAIVE ANY RIGHTS OR REQUIREMENTS UNDER ANY STATUTES, REGULATIONS, RULES, ORDINANCES, OR OTHER LAWS IN ANY JURISDICTION THAT REQUIRE AN ORIGINAL SIGNATURE OR DELIVERY OR RETENTION OF NON-ELECTRONIC RECORDS.

Export Control and Sanctions Compliance

Software may be subject to U.S. export and re-export control laws and regulations or similar laws applicable in other jurisdictions, including the Export Administration Regulations ("EAR") maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control ("OFAC"), and the International Traffic in Arms Regulations ("ITAR") maintained by the Department of State. You warrant that You are (1) not located in any country to which the United States has embargoed goods or has otherwise applied any economic sanctions; and (2) not a denied party as specified in any applicable export or re-export laws or regulations or similar laws applicable in other jurisdictions or otherwise listed on any U.S. government list of prohibited or restricted parties.

You agree to comply with all applicable export and reexport control laws and regulations, including without limitation the EAR and trade and economic sanctions maintained by OFAC. Specifically, You agree not to – directly or indirectly – use, sell, export, reexport, transfer, divert, release, or otherwise dispose of any products, software, or technology (including products derived from or based on such technology) received from MacPaw under these Terms to any destination, entity, or person or for any end-use prohibited by the EAR, trade and economic sanctions maintained by OFAC, or any applicable laws or regulations of the United States or any other jurisdiction without obtaining any required prior authorization from the competent government authorities as required by those laws and regulations.

Assignment

MacPaw may assign any or all of these Terms, including any rights, licenses, and obligations hereunder, to any third party without Your consent or prior notice. You may not assign these Terms, or any rights or obligations hereunder, to any third party without MacPaw’s prior written consent.

SPECIAL PROVISIONS

Local File Operations. The Software operates on files and folders stored locally on Your Mac. The Software does not upload, sync, or transmit Your files to any server operated by MacPaw. All file organization, renaming, moving, and watching operations are performed locally. The only external data transmission occurs when You choose to use the Cloud-Based AI Services, as described in Section “AI Feature and Third-Party Services”.

Undo and Data Safety. The Software provides an undo feature for file organization operations. However, the availability and completeness of the undo functionality may be limited depending on subsequent changes to the file system (e.g., if files are renamed, moved, or deleted by other applications after the Software has organized them). MacPaw strongly recommends that You maintain regular backups of Your data independently of the Software.

Watch Feature. The Watch feature monitors designated folders for new files and may automatically organize them based on Your configured rules and preferences. By enabling the Watch feature with auto-organize, You acknowledge that: (a) files will be moved automatically without per-file confirmation; (b) the Software will operate only while the application is running; and (c) You are responsible for reviewing the Software’s activity log to verify that automated operations are performing as expected.

Third-Party Services. The Software may integrate with or rely on third-party services, including but not limited to Cloud-Based AI Services or On-Device AI Framework. MacPaw is not responsible for the availability, performance, security, or privacy practices of such third-party services. Your use of third-party services is subject to their respective terms and conditions. MacPaw shall not be held liable for any service interruptions, access restrictions, or modifications to Third-Party Services terms by such Third Party Services. However, in the event of such disruptions, we will endeavor to work diligently to reinstate the Refolder’s full functionality.
